The following terms will ensure a working relationship based on trust between you, the Client, and us, the Design Company.
This Agreement is subject to change. Please always make sure you’re familiar with the latest Agreement before starting your journey with us.
The Client does not need to sign a printed Trust Agreement Document, unless requested. Paying a deposit indicates that the Client agrees to this Trust Agreement.
RIGHTS AND OWNERSHIP:
The final product is completely and utterly yours once the full payment of the agreed upon fee is paid. Until then, Quirky Sloth Design still owns all designs. No final artwork will be handed over without full payment.
CLIENT FEEDBACK:
The Client should select the design plan that will best fulfil their requirements. It would benefit both parties if the Client is prepared to offer feedback as to how we are doing in meeting their needs. The Client can combine elements from the different proposals to create a FINAL look. Finally, the design will be approved/signed-off by the Client.
THIRD PARTY CONTRACTS:
Contracting other creative professionals to provide services that are not offered by Quirky Sloth Design is the responsibility of the Client.
PAYMENTS:
A lot of dedication, effort and resources go into each project to make sure the Client receives the perfect design. Quirky Sloth Design asks for a 50% deposit before work begins. The down payment is non-refundable. The remaining 50% is payable to Quirky Sloth Design upon completion of the project, before the original artwork and open file format will be supplied to the Client.
DELAYED PAYMENT:
If, after a project has been completed, the full mount owing has not been sent through within 30 days, a 5% “delayed payment” fee will be charged. This 5% delayed payment fee will be added on each recurring 30 day period until the full amount has been received by Quirky Sloth Design.
REVISIONS:
There are a specific amount of revision rounds per project as stated on quotations. Should the Client require extra revision rounds, a separate quotation will be supplied. Quirky Sloth Design will never limit the Client. The price at the beginning of a project is based on the length of time that Quirky Sloth Design estimates will be needed to accomplish everything as agreed upon. Additional items can be requested at additional charges.
ADDITIONS AND ALTERATIONS:
Any new work requested by the Client after the agreement to proceed, is considered an addition or alteration (extra revision round). If the job changes significantly and substantially alters the specifications described in the original estimate, Quirky Sloth Design will submit an additional quotation to the Client, and both parties must agree to the revised or additional fee before further work proceeds.
FILE FORMATS:
Once the Client has paid the amount owing in full, the final design will be sent to the Client in Open File Format and Print Ready Jpeg and PDF.
BACKUP:
Quirky Sloth Design is not responsible for the backup of any final designs once supplied to the Client as stated above.
ERRORS AND OMISSIONS:
While we will make every effort to ensure that our designs are 100% perfect, Quirky Sloth Design is not responsible for proofreading any designs and is not liable for errors or omissions. The Client is responsible to check proofs and other deliverables carefully for accuracy in all respects, ranging from spelling to technical illustrations.
DEADLINES:
Quirky Sloth Design is reliable with deadlines, however, it is important that you hit every deadline, too. We will rely on your approvals and sign-offs to keep this process as smooth as possible. Any delays in approvals will affect our schedule and result in us moving deadlines back accordingly. Please note that payment milestones will remain in place. In the unlikely event that we miss a deadline, the payment milestones will be adjusted.
CANCELLATION:
If the Client cancels a project after work has already started on it, a cancellation fee will be charged based on the amount of hours worked. If Client communication stops for a period of 30 days, Quirky Sloth Design can cancel the project. The deposit paid will be allocated as cancellation fee.
PROMOTION:
Quirky Sloth Design has the right to use the digital format of all completed designs for publication or other promotional purposes only.
USE OF DESIGN ELEMENTS:
Quirky Sloth Design legally assumes the Client has proofread and approved text copy and images (photos, stock images, web images) that they have supplied for design purposes. If Quirky Sloth Design needs to source images from the internet, we will take responsibility for checking if the sourced images are licensed or available to use for the project under commercial or non-commercial usage laws. Quirky Sloth Design therefore cannot take responsibility or liability of images, artwork or copy text supplied by the Client. As soon as the Client signs off the project by paying 50% deposit or fully paying for the project, all artwork becomes the Client’s ownership and legal responsibility.
COMMUNICATION:
You can get in contact with Quirky Sloth Design by telephone or email: Monday to Friday - 9am to 5pm. Saturdays and Sundays - closed for business. All revisions to be supplied ONLY in writing (email). No revisions will be implemented based on telephonic requests/discussions.
CONFIDENTIALITY:
If any information provided by the Client is confidential, the Client must inform Quirky Sloth Design in writing before the project begins.
AND LASTLY:
We want to maintain our excellence. In order to do this, your commitment and co-operation in this project is needed and will be reflected in the results. By paying the deposit, the Client agrees to Quirky Sloth Design’s Trust Agreement as stipulated above unless otherwise arranged.
